1. Introductory Provisions
These general terms and conditions apply to all relationships arising from the purchase contract concluded between the company PROMIN CS, spol. s r. o. with registered office at Libá 101, 351 31 Libá (hereinafter referred to as the seller) and the customer (hereinafter referred to as the buyer).
The offer of goods is binding only for business entities, or persons who are not designated as consumers according to legal regulations. We do not sell to persons designated as consumers in accordance with legal regulations.
These general terms and conditions are an integral part of the purchase contract concluded between the seller and the buyer.
2. Ordering Goods
The buyer can order the goods at the online shop www.promin.cz, by phone or by e-mail. The supplier does not guarantee the immediate availability of all items of goods. If the goods are not in stock, the supplier will indicate the approximate delivery date.
By ordering the goods, the buyer expresses his agreement with these terms and conditions.
The order must contain the identification data of the buyer, the name and quantity of the ordered goods.
The order can be canceled or changed free of charge until the moment of its dispatch. If the supplier cancels the order, he will usually state the reason.
3. Delivery Conditions
The seller undertakes to deliver the ordered goods to the designated place and the buyer undertakes to collect the goods and pay the specified price.
The seller will deliver the goods to the buyer via a transport service.
The seller is not responsible for late delivery caused by the shipping service.
The buyer is obliged to confirm receipt of the goods on the delivery note and hereby confirms that the goods were delivered in the required quantity and quality.
4. Payment Terms
Prices in contracts and price lists are shown without VAT.
Shipping costs are added to product prices, see Shipping costs. In the case of ordering goods exceeding the value of CZK 5,000 without VAT, the seller pays the shipping costs within the Czech Republic.
The customer is usually obliged to pay the price for the goods within 14 days of the invoice being issued.
In the case of the first order, the buyer pays for the goods by cash on delivery, or advance payment, then an invoice is sent after every next order. Invoices are sent electronically.
5. Withdrawal from the Purchase Contract
In the case of an individual production order, a special purchase contract is concluded between the seller and the buyer. In this case, the delivery date is usually 4 - 6 weeks from the acceptance of the contract and approval of the graphic template.
The seller may withdraw from the purchase contract in the event that the buyer is in arrears with the payment of the delivered goods and does not provide assurance that he will be able to pay the obligation, or in the event that the buyer becomes bankrupt, suspends operations or is unable to pay his debts.
In the event that the seller withdraws from the contract, the buyer shall not be entitled to any related damages.
The buyer can withdraw from the contract only in the case specified in the contract or in the law. In the case of withdrawal from the contract for deliveries of individual goods, the buyer pays all costs incurred by the seller in connection with these goods up to that time.
In case of withdrawal from the purchase contract by the buyer without reasons defined by law or specially regulated by the purchase contract, the seller also has the right to demand an adequate compensation in the amount of 15% of the total purchase price, but at least CZK 400.
6. Complaints
The seller is responsible for product defects that occur within 24 months of receipt, unless otherwise stated in the warranty card. For disposable consumer goods, the seller is only responsible for defects that occur during the expiration date indicated on the packaging.
The warranty period starts from the date of delivery of the goods and the warranty does not cover manufacturing defects or defects caused by mechanical damage or wear.
The buyer is obliged to inspect the goods upon receipt - especially the number and integrity of the shipment. In the event of any defects, the carrier must immediately record this and notify the seller.
If the buyer discovers defects during the warranty period, he is obliged to notify the seller without delay, either in writing or by e-mail. In addition, the buyer is obliged to send the claimed goods to the seller together with the tax document.
The costs of transporting the goods to the seller are paid by the buyer, and the costs of sending the claimed goods back to the buyer are paid by the seller. The method of resolving the complaint will be specified to the buyer within 5 working days.
We reserve ownership of the goods until all claims against the customer have been fulfilled, even if the specific goods have already been paid for. The purchaser must inform us immediately about third-party enforcement measures against the reserved goods, stating the documents necessary for an intervention; This also applies to impairments of any other kind. Regardless of this, the purchaser must inform third parties in advance of the existing rights to the goods. The customer will bear the costs of any intervention by the user if the third party is unable to reimburse them. In the event that the reserved goods are resold, the purchaser hereby assigns to us as security the claims against his customer arising from the above-mentioned transactions in order to fulfill all of our claims. By processing the reserved goods, transforming them or combining them with another item, we immediately acquire ownership of the item produced. It is considered reserved goods. If the value of the security of our claims against the customer exceeds by more than 20%, we must, at the customer's request and at our discretion, release the appropriate amount of security to which we are entitled.
8. Final Provisions
All prices listed on this website are exclusive of VAT.
We reserve the right to change the price; and minor variations of the product in color, size or technical equipment, without prior notice.
With the publication of a new catalog, the previous catalog loses its validity.
We reserve the right to request an advance payment, especially with new customers.
These general terms and conditions are valid from March 1, 2016. The supplier reserves the right to change the terms and conditions. Changes to the terms and conditions will be announced on the www.promin.cz website at least one month before the effective date.
